Tax question for any tax professionals or CPAs regarding capital gains

I am buying into a company that holds ownership stake in another company (which is in the process of selling 80% of it's shares). The timing is such that I will benefit in a small way from the equity raise. My question: since the company I'm buying into held the asset for greater than a year (but my involvement was less than a year), will the small portion of the equity that makes it to me be taxed as long-term or short-term capital gains? Or will the company pay the capital gain tax and I will just be taxed on ordinary income?
