It is easy to see why they are borrowiing funds.
Their cash reserves are held foreign, and were earned foreign. If they domesticate, they get taxed on it. So instead, they pledged it as collateral and borrowed money to fund the US operation, which allowed them to not domesticate the funds.

Smart move, not shady.

If they have issues, it's because they are trying to limit US corporate taxes on foreign earnings.
