If you don’t have any duty of confidentiality you might also get away with it
There was a case involving Barry Switzer (yeah, that same guy) overhearing a discussion at a kids baseball game and trading on it and not being liable because even though his information wasn’t public, he had no duty not to trade on it and thus it wasn’t a fraudulent act.
