A few principle reasons, first, it is a clear violation of copyright law in my
opinion to break security measures on a disk and then sell the movies yourself. I don't believe it was congress' intent to with the family entertainment act (whatever it was called) to allow this at all, let alone to force them to do it. The law seems to contemplate personal, in home, non-commercial editing, in my opinion. They approached the studios in the beginning with this idea, the studios said no, they decided to do it anyway. I don't buy into their argument that this rises to the level of anti-competitive behavior. I think it was just a cash grab.

Second, and more importantly, their business model seems to be built on a lie. They claim to buy a copy of each DVD that is ordered. However, they effectively only collect $1 per movie. How is this sustainable? I think the far more likely scenario is that they are lying and buying one copy of each movie that they send to everyone. They have a picture in their answer of a pile of copies of the revanant in their headquarters, doesn't it seem odd that they would just show a pile of one movie? why not show a picture of the entire warehouse full of boxes of DVDs? it would be more persuasive. The most likely answer is that they are lying and aren't buying the movies they claim to, which is the basis of their whole argument.

Finally, they threw out this security offering which seeking cash from customers a week before the hearing that could literally shut them down. I read their circular, and they did mention that they were involved in this suit. However, the circular itself was easy to miss and they clearly are playing on the sympathies of their customers to raise 5 million dollars for a company that is likely to be shut down, if not in a week, than in the near future. It is borderline fraud, based upon how much the principles of the company actually know right now. Add to this the fact that it did let me go through the process to buy all the way up to the purchase point with a Nevada address. This is clearly illegal as this offering is not registered in NV. They wrote that this was the case, but have done nothing to actually comply with the law. One more thing in a string of shady decisions.
