They shouldn't know what the value is in your hands, unless you have misplayed
your cards, so there should be zero reason the purchase exceeds their own max value.
They may see their max value as different than as the NPV of cash flow, perhaps as a multiple of trailing 3 yr avg EBITDA (which may or may not create higher value), but either way that should be the max you consider.
