I have a client who had their manager draft a contract to save money and they just want me to review it to make sure there is nothing egregious. Actually, I think this management company pushed to have themselves draft it because they charge for these legal services at high rates (yes this is practicing law without a license, a red flag all by itself). The agreement is a disaster. It is taking me 10x longer to try and correct the mistakes in this horrible framework than it would have been to start from scratch and do it myself.
Here is a just sample of the insanely bad and dangerous language in the agreement: "all parties executing this Agreement are authorized and empowered to do so AND SHALL BE JOINTLY AND SEVERALLY LIABLE HEREUNDER." Emphasis added. Whaaaaaaaaaaaaaaaaaaaaaaaaaat?! The entire board is required to sign this agreement. This provision would make all of them personally liable for any breach or action arising from the agreement. The other party could pick all of them or any one of them to sue rather than the entity they represent and seek full compensation for any damages.
Don't be stupid people. If something is important, get an attorney involved from the start.
