Male CEO makes a recommendation to Board of Director's compensation committee
that he and one female senior executive should get a raise. The company is performing terribly. In fact, the CEO who wrote the recommendation is being replaced and demoted for poor performance...this is his final memo to the board. The Board rejects the recommendation for both people, deferring to the new incoming CEO to make any comp adjustment recommendations. New CEO launches a third party compensation review, which results in finding that the female executive is not under-paid. Female executive resigns and files a $4.0+ million lawsuit against the company and the board of directors for gender discrimination. She claims she was discriminated against because the board rejected the former CEO's recommendation that she get a raise.
