Do you want to have another family living below you every day? That’s one.
I wouldn’t personally care, but it would definitely be an adjustment.
Another one is the opportunity cost of what else you could have done with the basement in the meantime. Some people like having that extra space for their own use.
Otherwise I think it’s a great idea if everything is as you say.
